1. License Grant by Tier
1.1 Standard / PRO / PRO Lite
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Software for your own internal use, subject to the usage limits of your tier.
1.2 Agency / Agency Starter
In addition to the personal license above, we grant you the right to use the Software to deliver content packs to paying clients via the sub-account features provided. The number of permitted client sub-accounts is determined by your tier (10 for Agency; 3 for Agency Starter). You may not exceed the sub-account limit by sharing logins, rotating clients through a single sub-account, or any other workaround.
1.3 DFY / Mini DFY
The 50 (or 15) Done-For-You content packs are licensed for your personal or internal business use, including modification, voiceover, and publishing under your own brand. You may not resell the packs as-is, redistribute them as a standalone product, or grant rights for others to use them as a product.
1.4 Reseller / Reseller Lite
Reseller-tier licenses include additional rights and obligations as described in a separate Reseller Addendum communicated at the time of purchase. In summary:
- Reseller (full, $147): rights to rebrand and resell the entire ShortsShield AI funnel and Software, with no royalty owed to us. Subject to a 250-license cap on the number of Reseller licenses sold.
- Reseller Lite ($67): rights to resell only the front-end ($17) tier under your own brand, capped at 100 license sales.
Both Reseller licenses prohibit the use of our existing brand name "ShortsShield AI" — you must rebrand. They also prohibit re-licensing reseller rights to your buyers (i.e., your buyers do not get the right to resell).
2. Restrictions
You may not, except as expressly permitted by your license tier:
- Copy, modify, adapt, translate, or create derivative works of the Software (other than your own user-generated outputs and the modifications expressly permitted under DFY/Reseller tiers).
- Reverse-engineer, decompile, or disassemble the Software, except where applicable law expressly permits.
- Remove or alter any proprietary notices, labels, or markings on the Software.
- Use the Software in any service bureau, time-sharing, or hosted offering for the benefit of third parties (Agency tiers excepted).
- Sublicense, rent, lease, or transfer the Software (Reseller tiers governed separately).
- Use the Software in violation of our Acceptable Use Policy.
3. Updates & Maintenance
We may release updates, bug fixes, and new versions of the Software. Updates are made available to active license holders as part of their license, subject to the continued availability of the Service. We do not guarantee any specific update cadence or feature roadmap. We may discontinue support for prior versions.
4. Open-Source Components
The Software may include open-source components. Each such component is licensed under its own terms. A list of components and their respective licenses is available on request from support@shortsshield.com. To the extent any open-source license conflicts with this EULA with respect to that component, the open-source license controls.
5. Third-Party Services
The Software relies on third-party services (e.g., OpenAI, ElevenLabs). Your use of those services through the Software is subject to those providers' own terms. We do not control and are not responsible for those services' availability, pricing, or policies.
6. Ownership
The Software, including its source code, structure, sequence, organization, and all proprietary methodologies (including the 12-point Originality Checklist methodology and the Niche Saturation scoring framework), is licensed, not sold. Title and all intellectual property rights remain with us. Reseller-tier licensees may rebrand the user-facing product but do not acquire ownership of the underlying intellectual property.
7. Term & Termination
This EULA is effective until terminated. We may terminate it immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy or delete all copies in your possession or control. Sections 2, 6, 8, 9, and 10 survive termination.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SEE THE DISCLAIMER SECTION OF OUR TERMS & CONDITIONS FOR FULL DETAILS.
9. Limitation of Liability
OUR LIABILITY UNDER THIS EULA IS LIMITED AS PROVIDED IN THE LIMITATION OF LIABILITY SECTION OF OUR TERMS & CONDITIONS.
10. Governing Law
This EULA is governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws principles.
11. Entire Agreement
This EULA, together with our Terms & Conditions, Privacy Policy, and any tier-specific addenda, constitutes the entire agreement between you and us regarding the Software.
